TAXICAB LEASE AGREEMENT
THIS AGREEMENT made this __________ day of _______________, 20____ by and between RediCab with its principal place of business located in Olympia, Washington (hereinafter “Company”), _________________________________________, a Washington licensed business owner, (hereinafter “Self Employed Taxi Driver”).
WHEREAS, the Company is an intrastate for-hire common motor carrier operating under a certification of public convenience and necessity issued by the State of Washington and a for-hire taxicab and passenger service as licensed by applicable city, and /or county jurisdictions or is a licensed business owner in the automobile rental business; and
WHEREAS, the Company is the owner of taxicab(s) with rights to lease said vehicle(s) to Self Employed Taxi Driver
NOW, THEREFORE, in consideration of the promises and the mutual covenants herein contained, other good and valuable considerations, the receipt of which each of the parties hereto acknowledges, it is hereby agreed as follows:
Lease of Equipment Only: The Company agrees to lease to the Self Employed Taxi Driver on a weekly basis at $80 per 12 hour shift, and the Self Employed Taxi Driver agrees to pay each week the total sum owed via cash or credit card (plus credit card processing fee) (Bonus Days: Drivers are allowed to miss 1 scheduled week every 6 months where lease will not be owed. If a driver coverers for a different driver, no lease is owed by the fill in driver. After bonus days are exhausted, lease must be paid by the driver who is absent from a shift) Drivers must drive such taxicab(s) in a safe, legal and proper manner and to make all payment required of the Company for the lease of the taxicab(s), including parking and enforced tickets, and to protect the taxicab(s), protect its equipment and to not remove the registration, insurance card or the for hire certificate. The taxicab(s) shall be returned by Self Employed Taxi Driver with a full tank of gas and clean both inside and outside at the end of each shift, or consecutive shifts, or any other term if applicable. Company Obligation: Company agrees to maintain the taxicab(s) as set forth by the state, county, region and/or municipality; in addition, Company shall keep the taxicab(s) properly licensed and insured. The registration, insurance card and for hire certificate will be placed in the vehicle and shall not be removed by anyone other than to be replaced with current items.

TAXICAB LEASE AGREEMENT
Terms of Agreement: This Agreement shall be effective from the date set forth above and shall continue for a period of one year from the effective date. This Agreement will automatically renew unless written notice has been given. This Agreement shall govern the relationship of the parties for all shifts in which the Lessee rents a cab or cabs from Lessor. Acknowledgement: By this Agreement, the Company and the Self Employed Taxi Driver acknowledges and agree that there does not exist between them the relationship of employer-employee, principal agent, or master/servant, either expressed or implied, but that the relationship of the parties is strictly that of Lessor (Company) and Lessee (Self Employed Taxi Driver, the Self Employed Taxi Driver being free from interference or control on the part of the Company in the operation of said taxicab(s). Company acknowledges and agrees that this agreement does include the use of dispatch services, such as company cell phone and dispatch phone number (to be operated by the assigned driver on each shift in accordance with company dispatch policies), as a means in which to obtain paying fares. Additionally,Self Employed Taxi Driver is in no way obligated to accept dispatch calls from the Company. Self Employed Taxi Driver agrees that he/she will comply with all applicable federal, state, regional, county, and municipal laws, rules, fines, penalties or forfeiture occasioned by any violation thereof, including photo enforced speeding tickets and parking.
Self Employed Taxi Driver acknowledges the following:
Self Employed Taxi Drivers are not eligible for federal or state unemployment benefits.
The Company is not responsible for withholding federal or state income taxes, or any other taxes and the Self Employed Taxi Driver will be liable for payments of all such taxes. Self Employed Taxi Driver are requited by law to maintain a ledger itemizing all income and expenses. Use daily totals for income. Self Employed Taxi Driver is solely responsible to maintain the books and records of his/her business reflecting items of income and expenses.
The Company agrees to furnish commercial insurance on said taxicab(s) in the sum of not less than is required by law, and the Company shall not be responsible nor liable for any injury to any contracted driver resulting from the use or operation of said taxicab(s).
Self Employed Taxi Driver expressly represents that he/she has taken all steps necessary to obtain a business license from State of Washington, the city of Lacey, and any other appropriate jurisdiction, and will undertake to keep all such license(s) current and pay all appropriate local, state and federal taxes. Self Employed Taxi Driver will provide proof of such licensing to the Company upon request within 10 days.

DRIVER PROTECTION PROGRAM
RediCab has a self insurance program designed to protect both RediCab and its drivers from harm and unexpected expenses.
Drivers contribute $10 per shift to be deposited into a savings account. RediCab manages this account based on previously agreed rules, and will administer any decision made by drivers vote. The owner of RediCab is a driver, having the same obligations and voting rights as any driver. An account statement will be provided to all drivers every month.
Existing Use
Payments will be paused when the account balance exceeds $10,000
Drivers may be compensated up to $150 for unpaid rides. It is expected that drivers will use good judgment when accepting rides.
Up to $3000 may be paid to a driver who misses work because of a work related injury,
Up to $500 may be reimbursed to RediCab to cover damages cause by an at fault accident, road debris, or collision with an animal.
Up to $10,000 may be reimbursed to RediCab to cover damages caused by an un insured driver, or hit and run. In the event of a total loss, auction sale will be deducted from the fair market value of the vehicle plus towing expenses.

Notice of Termination: Either party may terminate this Agreement at any time whatsoever. If the Self Employed Taxi Driver terminates for any reason whatsoever, the Self Employed Taxi Driverr shall reimburse the Company for all outstanding fees and costs that have accrued which have not been reimbursed to the Company. If either party refers a claim under this Agreement to an attorney or commence litigation or collection for a claim or cause of action under this Agreement, the substantially prevailing party shall be entitled to its reasonable attorney’s fees and costs.
Self Employed Taxi Driver agrees that clients developed through Company marketing efforts, advertising, and sales will be served through the Company reservation system. Self Employed Taxi Driver agrees not to solicit nor make sales overtures of any kind to such clients which may encourage Company clients to deal directly with Self Employed Taxi Driver. Personal cell calls and the use of a personal vehicle will result in immediate termination of the Agreement. ____________Self Employed Taxi Driver Initials
Assignment: Self Employed Taxi Driver rights and obligations under this Agreement shall not be transferred by assignment or otherwise, nor shall the Company’s rights be subject to encumbrance or subject to the claims of Self Employed Taxi Drivers creditors. This Agreement constitutes the entire Agreement and understanding between the parties as to the subject matter hereof, and merges all prior definitions, warranties, understanding or representations other than expressly provided herein.
